# MASTER COMMERCIAL SYNC & WORK-FOR-HIRE PRODUCTION AGREEMENT

### 1. ENGAGEMENT & SCOPE OF SERVICES
This Master Commercial Sync & Work-For-Hire Production Agreement ("Agreement") governs the production, rendering, licensing, and delivery of custom animated music videos, promotional commercials, visualizers, and digital marketing assets ("Work Product") created by **Velocity Production Studios / RJ Business Solutions** ("Producer") for the purchasing individual, artist, record label, or entity ("Client").

### 2. WORK-FOR-HIRE & OWNERSHIP OF DELIVERABLES
Upon receipt of full payment according to the selected service tier ($1,500 Essential, $2,500 Pro Master, or $3,500 Campaign OS):
1. **Assignment of Rights:** Producer grants, assigns, and transfers to Client all right, title, and interest in and to the finished master video render(s) as a "Work-Made-For-Hire" under US Copyright Act (17 U.S.C. § 101 et seq.).
2. **Global Perpetual License:** To the extent any jurisdiction does not recognize Work-For-Hire status for visual creations, Producer irrevocably grants Client an exclusive, perpetual, worldwide, transferable, and sublicensable license to exploit, monetize, display, distribute, broadcast, and perform the Work Product across all media channels now known or hereafter devised.

### 3. MONETIZATION & COMMERCIAL USAGE CLEARANCE
The Work Product is delivered 100% royalty-free. Client retains 100% of all streaming, ad revenue, and commercial proceeds:
- **Streaming Platforms:** YouTube (including Monetization & Content ID registration), VEVO, Spotify (Canvas & Video), Apple Music, Tidal.
- **Social Media:** Instagram Reels, TikTok, Facebook, X (Twitter), LinkedIn.
- **Broadcast & Advertising:** Digital PPC ads (Meta Ads, Google Ads, TikTok Ads), OTT streaming networks, film festivals, and broadcast television.
- **Zero Royalties:** Producer claims 0% backend royalties, 0% streaming points, and 0% publishing shares in Client's audio recording or final video.

### 4. CLIENT ASSET WARRANTIES & INDEMNIFICATION
1. **Client Audio & Likeness Warranty:** Client warrants and represents that all audio files (vocals, beats, stems, sound effects), reference photographs, trademarks, and logos provided to Producer are either wholly owned by Client or properly cleared/licensed for synchronization.
2. **Indemnification:** Client agrees to indemnify, defend, and hold harmless Velocity Production Studios, RJ Business Solutions, Rick Jefferson, and its operators against any and all claims, liabilities, damages, or legal expenses arising from copyright disputes regarding Client's underlying audio, unauthorized artist likenesses, or trademark claims provided by Client.

### 5. PRODUCER WARRANTIES & QUALITY STANDARD
1. **Original Visual Generation:** Producer warrants that all animated keyframes, character renders, transitions, and composite edits are generated specifically for Client's production run using proprietary workflow pipelines (`music_video_studio`).
2. **Clean Frame Guarantee:** Producer guarantees that deliverables are free of unauthorized third-party watermarks, copyrighted studio characters (e.g. Disney, Toei, Shueisha), or unapproved promotional tags.
3. **Studio Portfolio Rights:** Unless Client purchases the Enterprise Whitelabel / NDA Buyout option, Producer reserves the non-exclusive right to display excerpts (up to 30 seconds) of the finished Work Product in Producer's portfolio, reel, and case study documentation.

### 6. REVISIONS & ACCEPTANCE
- **Essential Tier ($1,500):** Includes two (2) rounds of edit revisions (timing, pacing, color balance adjustments).
- **Pro Master Tier ($2,500):** Includes four (4) rounds of edit and scene revisions.
- **Campaign OS Tier ($3,500):** Includes iterative collaborative revisions until final sign-off.
- Any request for complete script/style overhauls after initial client approval of the storyboard reference sheet shall be billed at standard studio hourly rates ($125/hr).

### 7. GOVERNING LAW & JURISDICTION
This Agreement shall be construed, interpreted, and enforced in accordance with the laws of the **State of New Mexico**, without regard to conflict of law principles. Any legal proceeding arising hereunder shall be brought exclusively in the state or federal courts situated in Bernalillo County, New Mexico.
